Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or
Standard; Transfer of Listing.

On April 19 and May 19, 2022, the Listing Qualifications Department (the
“Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) notified Allied Esports
Entertainment, Inc. (the “Company”) that the Company was not in compliance with
the periodic filing requirements for continued listing set forth in Nasdaq
Listing Rule 5250(c)(1) (the “Rule”). On June 29, 2022, the Staff notified the
Company that it has regained compliance with Nasdaq Listing Rule 5250(c)(1) as a
result of its filing of its Form 10-K for the period ended December 31, 2021 and
its Form 10-Q for the period ended March 31, 2022. As the Company has regained
compliance, the Staff’s letter on June 29, 2022 confirmed that the matter is now
closed.
